1. Acceptance

These Terms & Conditions (the "Terms") govern access to and use of the MGTrace platform and website (the "Service"). By creating an account or using the Service you agree to these Terms, the Privacy Policy, the Cookie Policy and, where MGTrace processes personal data on your behalf, the Data Processing Agreement (DPA). If you do not agree, do not use the Service.

2. The Service

MGTrace is a software-as-a-service platform for commissioning & qualification and quality management (eQMS/ALM), including document authoring, requirements management, protocols and execution, electronic signatures, traceability and audit trail. The Service is provided on an "as available" basis and may evolve over time.

3. Eligibility and accounts

3.1 The Service is a professional B2B tool intended for users aged 18 or over acting in a professional capacity. 3.2 You are responsible for the accuracy of your registration data, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

4. Plans, fees and free tier

4.1 Free tier. Every organization may use the Service with up to five (5) seats free of charge, with no time limit. A seat is an active user account or an invitation that has not yet been accepted. Exports generated on the free tier carry a "Generated with MGTrace" mark. No payment method is required and no fee is payable while you stay within the free seats. 4.2 Paid seats. Seats beyond the free five are charged at the price published at mgtrace.com/pricing (at the date of these Terms, EUR 39 per additional seat and month, excluding VAT). The five free seats remain free whatever plan you are on. 4.3 How paid seats are agreed. Extra seats are requested from within the Service or by e-mail, and take effect only once we have confirmed the price with you in writing. No payment details are entered into the Service and no charge is ever taken automatically; invoices are issued for payment by bank transfer, monthly or yearly in advance. 4.4 Changes and cancellation. You may reduce your seats or return to the free tier at any time by removing the extra users; the change applies from the next invoicing period and amounts already invoiced are not refunded pro rata. We will give at least thirty (30) days' notice by e-mail before any price change affecting seats you already hold, and you may cancel before it takes effect. 4.5 Late payment. If an invoice remains unpaid, we may, after notice and a reasonable cure period, suspend the extra seats and return the organization to the free tier. Your data is not deleted for non-payment, and it remains exportable as set out in Section 6.3.

4A. Early access

4A.1 The Service is currently provided as an early-access release. Functionality may be incomplete, may change between releases and may contain defects. The list of known limitations is published in the application (Help & support) and in the release notes. 4A.2 The free tier of up to five (5) seats per organization applies to early-access customers on the same terms as to every other customer, and remains available to them after early access ends. 4A.3 Every release is versioned and described in a changelog; the version and build of the software you are using are shown in the application. Signed records, audit trails and exports produced during early access remain valid records after the release they were produced with is superseded. 4A.4 During early access you agree to report defects through the in-app feedback channel where practicable, and we commit to acknowledging reports and publishing fixes in the release notes. Early access does not limit the warranties, liability provisions or data-protection commitments set out elsewhere in these Terms.

5. Acceptable use

You agree not to: (a) use the Service unlawfully or in breach of third-party rights; (b) upload special categories of personal data (Article 9 GDPR) or content you are not entitled to process; (c) attempt to gain unauthorized access, disrupt, reverse-engineer or circumvent security or usage limits; (d) resell or provide the Service to third parties except as expressly permitted; or (e) use the Service to build a competing product. We may suspend accounts that breach these Terms or pose a security or legal risk.

6. Customer content and data

6.1 You retain all rights to the content and data you submit to the Service ("Customer Content"). You grant MGTrace a limited licence to host, process and display Customer Content solely to provide and support the Service. 6.2 You are responsible for the lawfulness of Customer Content and for having any necessary rights, notices and legal bases for the personal data it contains. Where MGTrace processes personal data on your behalf, the DPA applies. 6.3 You may export your Customer Content (e.g. Word/PDF exports and, where available, data export). On termination, data is handled per the DPA and Section 10.

7. Intellectual property

The Service, its software, design and trademarks are owned by ERIN AUTOMATION, S.L. or its licensors. Except for the rights expressly granted to use the Service, no rights are transferred to you.

8. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.

9. Warranties and disclaimers

9.1 We provide the Service with reasonable skill and care. To the maximum extent permitted by law, the Service is provided "as is" and "as available", without implied warranties of merchantability, fitness for a particular purpose or non-infringement. 9.2 You are responsible for validating the Service for your own regulated use. MGTrace provides functionality to support GxP/Part 11 compliance but does not thereby certify your compliance; your qualification and validation of the Service in your environment remain your responsibility.

10. Term, suspension and termination

10.1 These Terms apply while you use the Service. Either party may terminate at any time; you may close your account at any time. 10.2 We may suspend or terminate access for breach, security or legal reasons. 10.3 On termination, your right to use the Service ends. Customer Content is returned or deleted as set out in the DPA, except records whose integrity must be preserved for regulated purposes (audit trail, electronic signatures) or as required by law.

11. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental or consequential damages, loss of profits, data or goodwill; and (b) because the Service is currently provided free of charge, MGTrace's total aggregate liability arising out of or relating to the Service shall not exceed EUR 100 (one hundred euros). Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (in particular liability for wilful misconduct (dolo) or gross negligence (culpa grave), or for death or personal injury).

12. Changes

We may update the Service and these Terms. Material changes to the Terms will be notified through the Service or by email and take effect on the stated date; continued use constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by Spanish law. Subject to any mandatory consumer rules, the parties submit to the courts of Barcelona, Spain.
